CONTENT LICENSE AGREEMENT

for publication and use of user-generated content on Wayfriends

1. GENERAL PROVISIONS

1.1. This Content License Agreement (hereinafter the "Agreement") governs the terms for publishing, storing, distributing, displaying, adapting, and using content posted by Users on the Wayfriends platform, available at https://wayfriends.ru.

1.2. This Agreement is an integral part of the Terms of Service and the Public Offer in effect on the Platform. By uploading content, the User agrees to all terms of this Agreement.

2. DEFINITIONS

• Platform — the Wayfriends website, including all subdomains, mobile versions, applications, and interfaces.
• User — a registered individual who publishes content on the Platform.
• Content — any materials posted by the User, including but not limited to: text, images, audio, video, blogs, listings, courses, stories, announcements, music, and other digital formats.
• Author Content — original creative works protected under copyright law.

3. RIGHTS RETAINED BY THE USER

3.1. The User retains full copyright and ownership of any content they lawfully own and upload to the Platform.

3.2. Uploading content to the Platform does not grant Wayfriends exclusive rights, unless otherwise agreed in a separate written contract.

4. LICENSE GRANTED TO THE PLATFORM

4.1. By uploading content, the User grants Wayfriends a non-exclusive, perpetual, royalty-free, worldwide license to:

• store, process, and host the content;
• display and publish the content within the Platform (e.g. in feeds, groups, recommendations, search, homepage);
• generate derivative works (such as thumbnails, previews, resized versions);
• promote the content in advertising or marketing materials (with credit, if available);
• adapt content for different formats and devices (e.g. transcoding video or images).

4.2. The Platform does not transfer or sublicense content to third parties outside of Wayfriends without the User’s consent, unless required by law.

5. PUBLICATION AND REMOVAL

5.1. Users may delete their content at any time, except in the following cases:

• The content has been purchased or unlocked by other Users (e.g., paid posts, subscriptions, digital goods);
• The content is needed for ongoing legal, moderation, or financial reviews.

5.2. The Administration reserves the right to remove content without prior notice in cases of:

• legal violations;
• repeated user complaints;
• breach of this Agreement or Terms of Service.

6. MONETIZATION AND DISTRIBUTION

6.1. Users may set prices for access to their content (via subscriptions, donations, shop listings, etc.) and agree to Wayfriends’ commission policy.

6.2. Content may be distributed either freely or under paid access, depending on settings chosen by the User.

6.3. The Platform may promote or feature User content internally (e.g. in trending feeds, recommendations) without additional approval.

7. RESTRICTIONS

7.1. Users are prohibited from uploading content that:

• infringes on third-party copyrights, trademarks, or patents;
• violates image rights or privacy laws;
• breaches applicable Russian Federation laws, including laws on personal data, copyright, or child protection.

7.2. Content is not reviewed prior to publication, but the Administration may remove any content that violates this Agreement or applicable law.

8. AMENDMENTS

8.1. Wayfriends may modify this Agreement at any time. Updates become effective upon publication on the Platform.

8.2. Continued use or storage of content after any update constitutes acceptance of the revised Agreement.

9. FINAL PROVISIONS

9.1. This Agreement is governed by the laws of the Russian Federation.

9.2. Any disputes arising under this Agreement shall be resolved in accordance with the Terms of Service and applicable legislation.

9.3. By uploading content, the User confirms full agreement with the terms of this License.
